AEROSMITH® OPENING ACT CONTEST RULES

GENERAL: The Aerosmith® Opening Act Contest (“Contest”) is subject to and regulated by all applicable laws in any nation, state or other jurisdiction. Participation in the Contest is void in every jurisdiction in which participation is prohibited by any law, statute or regulation. PAID, INC. and Aeroforceone.com does not warrant that participation in this Contest is permitted under applicable law(s) in any jurisdiction. PAID, Inc. and Aeroforceone.com may, in their sole discretion and at any time, modify and/or make changes to these rules. The laws of the Commonwealth of Massachusetts and the United States of America govern these official rules and your participation in this Contest. By participating in the Contest you are agreeing to submit any dispute concerning your participation or this agreement to the exclusive jurisdiction of courts located in the County of Worcester, Massachusetts.  Contest sponsor is Paid, Inc., 4 Brussels St. Worcester, MA 01610.

PRIZES: One (1) Grand Prize winner from each city will get to perform as the opening act before the scheduled opening act at their city's show, receive a pair of tickets to their city's show, a Guitar Hero®: Aerosmith® bundle and a meet & greet with Steven Tyler and Joe Perry.  The winners' "opening act" performance will be videotaped and posted on YouTube.  The Approximate Retail Value of the Grand Prize is $511.99. Two (2) Second Prize winners in each city will receive a pair of tickets to the show in their city and a Guitar Hero: Aerosmith prize pack.  The Approximate Retail Value of the Second Prize is $179.99. 

HOW TO ENTER: To enter, you must create a video of yourself playing air guitar with the Guitar Hero® guitar controller OR playing the Guitar Hero: Aerosmith game.  If you use music in your submission you can only submit using these songs: Make It, Uncle Salty, Draw The Line, No Surprize, Moving Out, Sweet Emotion, Nobody’s Fault, Bright Light Fright, Back in the Saddle, Dream On, Mama Kin, Toys In The Attic, Combination, Let the Music Do the Talking, Mercy, Pandora’s Box, Rats in the Cellar, Shakin My Cage, Talk Talking, Walk This Way.  Upload your video to YouTube. You must tag your video "“AerosmithOpeningAct" along with the city you want to win in, ie "Mansfield." (Use the city name listed under the “Location” column on the Aero Force One tour page.)  Subscribe to Aerosmith’s Official YouTube Channel at www.youtube.com/theofficialaerosmith.  Winners will be chosen in each city by Aeroforceone.com.  The criteria for winning is the video displaying the best combination of creativity, skill and star power.  Runner Up Prizes will include consideration for the videos with the most views, responses, comments and ratings on YouTube.  Winners will be informed on a rolling basis two weeks before each show. 

DEADLINES: The contest will begin on Tuesday, May 5, 2009 at 12:00pm EST.  Contest for each market will end at 11:59pm EST two weeks (14 days) prior to the concert date for said market.
 
PARTICIPATION AND ELIGIBILITY: All contestants must be legal residents of the United States (except Puerto Rico, U.S. Virgin Islands, American Samoa and Northern Mariana Islands), Canada, South America, Europe, Asia and Australia and must be at least thirteen (13) years of age or the age of majority in the state or country you reside in (whichever is older). All eligible entries will be considered.  If you are under eighteen (18) years of age, your parent/legal guardian will be required to consent to your participation in the contest by sending an email to customerservice@aeroforceone.com that states: “"I am the parent and/or legal guardian for the participant [insert full name] who is between the ages of 13 or older.  I hereby consent to his/her participation in the Aerosmith contests.  In the event that the participant wins, I may be asked to provide additional evidence of my consent." Please put in the subject line of the email "Aerosmith Opening Act Contest." If your video is selected, you must provide a valid email address for your parent/legal guardian.  Aero Force One will email a waiver to the parent/legal guardian and he/she will have 24 hours to return the signed waiver by fax.  Upon receipt of the signed waiver, your video entry will be considered eligible to win.  All travel accommodations must be provided by the winner.  Employees or agents of Aeroforceone.com, PAID, Inc., Aerosmith® or their respective subsidiaries, and other related companies and the immediate family members of such employees are not eligible to enter. The eligibility of all participants to receive prizes after winning Aeroforceone.com sweepstakes and/or contests is subject to all of the provisions contained in these Official Aerosmith® Opening Act Contest Rules, along with any other applicable guidelines or rules posted.

ODDS OF WINNING: The odds of winning depend on the number of eligible entrants at the time of the selection.

WINNERS AND NOTIFICATION: The Winners will be notified within one (1) day from the date of selection. The Winners will be notified via email, telephone and/or U.S. mail, and will have 24 hours to respond to PAID, Inc. and accept his/her prize. If a Winner does not accept his/her prize within 24 hours, then a substitute winner will be selected. Specific instructions about how the Winners will receive his/her prize will be conveyed upon acceptance. Winner may be required to submit valid identification and other information to verify eligibility prior to such delivery. Prizes are not transferable and cannot be redeemed for any cash value, credit, or future Aeroforceone.com promotions. Winners are responsible for paying any federal, state or local taxes on the value of any prizes received, and for any and all expenses in connection with use of a prize. If for any reason a Winner is found ineligible to receive a prize, the prize will be forfeited. Any fraud found subsequent to the awarding of a prize will result in the immediate revocation of the prize. All decisions made by Aeroforceone.com with respect to the selection of Winner(s) are final. Except where prohibited, by accepting a prize package, a Winner consents to the use of his/her name, birthday message, photo and/or likeness, biographical information, and publication of his/her story for any purpose, including but not limited to advertising and promotional purposes for Aeroforceone.com, without additional compensation, through any and all means and media, whether now known or hereafter developed, throughout the world in perpetuity. Nothing shall obligate Aeroforceone.com to so use or engage in any of the above. By submitting any content to the Contest, you hereby grant us a perpetual, worldwide, non-exclusive, royalty-free right and license to use, reproduce, display, perform, adapt, modify, distribute, have distributed and promote such content in any form, in all media now known or hereinafter created, anywhere in the world, and for any purpose. Furthermore, you thereby waive any so-called moral rights or other similar rights in your submission.

CONDITIONS AND LIABILITY: The Contest is subject to and governed by the Rules herein. By participating in this Aeroforceone.com Contest participants accept and agree to be bound by these rules, the decision of the judges where applicable (which shall be final and binding in all respects). By participating in the Contest, you agree to be responsible for your own actions and to release Aeroforceone.com, Aerosmith®, PAID, Inc., Rag Doll Merchandising, Inc., Activision Publishing, Inc. and their affiliates, subsidiaries, and other related companies, and all parties' directors, officers, employees, and agents, including advertising and promotional agencies, from any and all liability with respect to the Contest or the acceptance, possession or use of any prize, including without limitation (i) any condition caused by events beyond their control that may cause the Contest to be disrupted, postponed, cancelled or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Contest; or (iii) any printing or typographical errors in any materials associated with the Contest. All prizes are provided "As Is" and Aeroforceone.com, Aerosmith®, Rag Doll Merchandising, Inc., Activision Publishing, Inc. and PAID, Inc. disclaims all warranties and conditions express, implied or statutory, including without limitation the implied warranties of merchantability and fitness for a particular purpose. Aeroforceone.com, Aerosmith®, Rag Doll Merchandising, Inc. and Paid, Inc. is not responsible for lost, late or misdirected communications, for incorrect, inaccurate or incomplete registration whether caused by the participant or an equipment or technical malfunction, or for any equipment or technical malfunctions or errors, including but not limited to hardware/software failure, lost/delayed corrupted data, interrupted modem connections, and so called system "bugs." Any communication that is illegible, incomplete or late will be disqualified.

COPYRIGHT AND TERMS OF USE: By participating in this contest, you agree to submit video entries that are in compliance with the YouTube Terms of Service and User Submission requirements found at http://www.youtube/t/terms.  You shall be solely responsible for your own YouTube User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize YouTube to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and the YouTube Terms of Service. In connection with YouTube User Submissions, contestants further agree that they will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless contestants are the owner of such rights or have permission from their rightful owner to post the material and to grant YouTube all of the license rights granted in the YouTube Terms of Service.

TERMINATION OR SUSPENSION OF CONTEST: Aeroforceone, and PAID, Inc. reserve the right to halt the play of the Contest at any time and for any duration of time due to situations beyond its control such as strikes, acts of God, technical malfunction, etc. Aeroforceone.com and Paid, Inc. also reserves the right to terminate the Contest at any time at their sole discretion by giving notice at Aeroforceone.com. The Contest will terminate at 11:59 p.m. (EST) on the same day notice of termination is given.

Washington and Vermont residents may omit return postage. Or send email to customerservice@aeroforceone.com with the words, “Winners list for Aeroforceone.com Contest" in the subject box if you wish to receive the winner list by email.
